MET GLOBAL AFFILIATE AGREEMENT

This Agreement ('Agreement') is signed by and between MET GLOBAL AND the affiliate referred as the 'Client' and contains complete terms and conditions to participate in Met Global Affiliate Program. This is a legal agreement and by clicking 'I agree' checkbox, the Client accept the terms in this agreement.

MET GLOBAL and the Client are sometimes referred to in this Agreement collectively as the 'Parties' and individually as 'Party'.

THIS AGREEMENT COMMENCES UPON EXECUTION BY BOTH PARTIES AND SHALL CONTINUE THEREAFTER FOR THE PERIOD SET FORTH IN THIS AGREEMENT (2 YEARS), UNLESS SUCH AGREEMENT IS TERMINATED BY WRITTEN NOTICE BY MET GLOBAL TO CLIENT, PROVIDED. HOWEVER, THIS AGREEMENT IS NOT VALID OR BINDING ON THE PARTIES UNLESS (1) THE CLIENT CLICKS THE 'I AGREE' CHECKBOX OR (2) THE CLIENT USES THE ACCESS CODE PROVIDED BY MET GLOBAL.

If the client chooses as to receive a commissionable solution to display the Met Global Product inventory based on commissionable rates then a commission of 10% of total sale of all finalized hotel reservations is paid to the client on a monthly basis.

The commission is paid on the 20th of the following month of the reservations that have checked out. The minimum amount of 100 EUR/USD/GBP (depending on the currency selected for commission payment) shall be reached to process a payment. The client acknowledges that 10% commission is not applicable to void transactions. The Client will not be entitled to any commissions resulting from transactions that are subsequently cancelled, refunded, charged back, disputed by the traveler, result from fraudulent or other unlawful activity, or for which Met Global does not receive payment (collectively, "Void Transactions"). Met Global may deduct and offset any commissions previously made for such Void Transactions from future commission payments.

The client will be provided with a link where the reservations, total sale and commission information are displayed.

The commission is paid based on the currency the Client selects during the Sign Up. The Client should keep its account details and payment preference details updated as the commission payment will be processed based on the details here. The commissions will be paid via Met Global's payment agency, WPS (Worldwide Payment Systems). WPS may contact the Client in order to confirm the payment details. The Client shall be helpful to WPS during the process of payment.

The client agrees that during the term of this Agreement it shall not place material on any site linked to any site of the other party that is materially not appropriate for general and family viewing, such prohibited materials include adult materials, sexual materials, materials advocating violence or hatred, or any material the display of which may be a crime in any state/country that the website targets.

RESERVATION TERMS AND CONDITIONS
The website visitor (end user) of the Client will be subject to Met Global's B2C website terms and conditions and it is provided with the integration of the system.


1) Reservations
a. All reservations / requests must be communicated directly to MET GLOBAL by fax, e-mail and/or through online reservation system. Reservations will be confirmed based on availability.
b. Once the reservations/requests are accepted and confirmed, MET GLOBAL's payment, cancellation, change, no-show, and refund/discount policies herein will apply.

2) Rate Validity
a. All rates are valid from January 1st 2008 unless stated otherwise.
b. Hotel rates are per room per night and based on single, double, triple and quad occupancy as is applicable.
c. Rates and commissions do not apply to groups (more than 5 rooms) and may not apply during special events or conventions.


3) Accommodations
a. In general, single rooms contain one bed, double rooms contain one or two beds available upon request and triple/quad rooms contain two beds. Rollways are usually available at a small fee payable to the hotel.
b. Family plan will apply only if stated in the tariff. In order to apply, ages have to be provided when booking in destinations where applicable.

4) Cancellation/ Changes/No-Show Policy
a. All cancellations received will be provided with a cancellation number by our reservations department. Requests for refunds will not be honored without said cancellation number.
b. Hotel cancellations received within the deadline period (from end of the cancellation deadline till the check-in date) of that specific hotel (Monday-Friday excluding holidays) and hotel no-shows will incur a one (1)-night cancellation fee or sometimes full charge depending on the terms of the hotel. The client directs all the requests that is received directly to Met Global reservation department. Solely Met Global shall authorize cancellations and/or changes requested by the client. Any cancellations that are made directly with the hotel by the client or the customers of the client are not considered valid and Met Global's deposit, payment, cancellation, change, no-show, and refund/discount policies herein will apply. The end user should make all the cancellations, amendments and/or early check outs with Met Global's authorization.

c. The end user shall cancel alternative reservations that are offered due to unavailability of original request within 96 business hours (Monday - Friday excluding Holidays) from time of confirmation by Met Global. In case this deadline ends on a Saturday, Sunday or a holiday, then the deadline ends on Friday or the day before the holiday starts.
d. Non-cancelled or non-confirmed alternative reservations in case of book-out or rejections; are considered cancelled under the end user's responsibility.
e. Cancellations that occur due to unavoidable circumstances such as acts of war, natural disaster, government intervention, or strikes or as a result of any other causes beyond Met Global control will be without penalty or liability to either party.

5) Refunds/Discounts

a. Refund requests for early check out must be accompanied by the hotel early check out authorization. The authorization is not a guarantee for a refund, which will be issued only if the hotel or supplier will not charge Met Global.
All requests for discounts and/or deductions due to complaints or claims by consumers shall be presented in writing to Met Global within thirty (30)-days after checkout or end of service. Met Global shall determine the validity of all requests for discounts and/or deductions within the following 15 days of issue of the claim.

GENERAL

1) Entire Agreement/No Joint Venture/Severability
This Agreement shall not be modified except by a written agreement dated subsequent to the date of this agreement and signed on behalf of the Parties by their respective duly authorized representatives. No waiver of any breach of any provision of this Agreement shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party. The Parties hereunder are operating as independent contractors, and nothing in this Agreement shall be construed as creating a partnership, franchise, joint venture, employer-employee relationship or agency relationship. If any provision of this Agreement shall be held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. The Parties intend that the provisions of this agreement be enforced to the fullest extent permitted by applicable law.

2) Liability Restrictions
Met Global shall not be liable for a consequential, incidental, indirect, economic or punitive damages whatsoever arising out of or in any way related to the Agreement, even if Met Global has been advised of the possibility of such damages. This limitation shall be effective even if any remedy fails of its essential purpose.

3) Governing Law
This Agreement shall be construed and controlled by the laws of the State of New York and the Parties consent to exclusive jurisdiction and venue in the courts in Broome County. The Client waives all defense of lack of personal jurisdiction and forum non-conveniens. The parties further agree that the service of any summons, complaint or other legal process may be made by registered or certified U.S. mail, postage prepaid, at the addresses set forth in this agreement and that such service shall constitute valid service. In any action to enforce any right or remedy under this Agreement, the prevailing party shall be entitled to recover its reasonable attorney's fees, costs, and other expenses. The Parties hereby knowingly, voluntarily, intentionally, and irrevocably waive the right either of them may have to a trial by jury in respect to any litigation, whether in contract or tort, at law or in equity, based hereon, or arising out of or relating to, this Agreement or any other document, instrument, transaction, course of conduct, course of dealing, statements (whether verbal or written) or actions of any party hereto.

4) Confidentiality
Client shall refrain from disclosing all security codes, access codes, and rates (“Confidential Information”) disclosed by Met Global; take reasonable security precautions, as least as great as the precautions it takes to protect its own Confidential Information, but no less than reasonable care, to keep confidential Met Global's Confidential Information; and refrain from disclosing, reproducing, summarizing, and/or distributing Met Global's Confidential Information except in pursuance of the Client's business relationship with Met Global.

Met Global has the right to change any terms in the agreement and modify the agreement without any notice.

5) Termination
At the expiration of the Renewal Term this Agreement will automatically continue for a further Renewal Term unless terminated by either party upon thirty (30) calendar days written notice to the other party. Met Global may immediately terminate this Agreement by written notice to the client if; Met Global discovers, or suspects on reasonable evidence, any fraud or willful misconduct in the display, pricing, offer or sale of the Met Global Product through the Client's System; and/or when there is a breach regarding or the other clauses of this agreement.

The Client will cease to use any and all information provided, including without limitation, the product information and the rate; and will cease to issue reservation upon termination of the agreement.

All moneys owed by Met Global for commission prior to the date of termination will be due and payable by Met Global. Any reservation with a booking date after the termination date will not be commissioned.

Keyword Advertising.
Client represents and warrants to Met Global that except for the limited, personal right to use the Met Global's Marks as set forth herein, Client shall not display or use in any context or manner (directly or indirectly), the Met Global Marks or any other third party trademarks, logo, or branding (including, without limitation, any misspelling or substantially similar or confusingly similar version thereof) of Met Global or any other third party, in any manner whatsoever (including without limitation, in any search engine marketing or optimization, in any domain name, any other online/offline marketing or advertising, press releases, etc.) without first obtaining prior written approval from Met Global.
